Terms of service
Draft: still being reviewed before launch.
Effective date: [EFFECTIVE DATE]
These terms are an agreement between you and [COMPANY LEGAL NAME] ("Chalk", "we", "us"), of [ADDRESS], for your use of the Chalk web app and installable app (the "service"). Section 6 renews your subscription automatically. Section 13 limits our liability. Section 4 matters for your safety.
1. Accepting these terms
By creating an account or subscribing, you agree to these terms and to our Privacy policy at /legal/privacy, which forms part of them. If you do not agree, do not use the service.
2. Who can use the service
You must be at least [MINIMUM AGE] years old. An account is for one person. Keep your sign-in and passkey to yourself. You are responsible for what happens on your account.
3. Your account
Sign in with an email link or a passkey. Give us a real email address. Pick a username that does not impersonate anyone. You can delete your account any time from your profile.
4. Fitness disclaimer
- Not medical advice. Chalk is a tracking and community tool. Nothing in it is medical, health, nutrition or fitness advice.
- See a doctor. Talk to a doctor before you start or change an exercise or nutrition plan, especially if you have a condition or injury.
- Train at your own risk. Exercise can cause injury. You are responsible for your choices and your safety.
- No guarantees. Calculations, records, targets and suggestions are for information only. They may contain errors.
To the extent the law allows, we are not liable for injury or loss from your training or from relying on the service.
5. Community and content rules
You keep ownership of what you post. You must not post or do any of the following:
- Harassment, threats or bullying.
- Hate or abuse aimed at people for who they are.
- Spam, scams or fake engagement.
- Impersonation of another person or group.
- Illegal content, or content that breaks someone else's rights.
You must not misuse the service, for example by scraping it, probing it, or interfering with it.
6. Subscription, free trial and renewal
- Paywall. After onboarding you need a subscription to use the service.
- Plans. Weekly at [PRICE WEEKLY] or yearly at [PRICE YEARLY]. Taxes may be added.
- Free trial. New members get a 3-day free trial. A card is required to start. The trial is available once per email address, ever. We keep a one-way hash of your email to enforce this, even after you delete your account.
- Automatic renewal. Your plan renews at the end of each period, and the trial converts to a paid plan unless you cancel before it ends. We charge your card at the price shown at checkout until you cancel.
- Cancel any time. Use Stripe's customer portal, reached from your profile. Cancelling stops the next renewal. You keep access until the end of the period you paid for.
- Refunds. [REFUND POLICY, FOR COUNSEL]. Mandatory consumer rights stay in place.
- Price changes. We will tell you before a price change applies to you.
- Payments. Stripe processes them under its own terms.
- Free access. Verified creators and some others may get free access. We can change or end it.
7. Creators and affiliate links
Creators may earn commissions on subscribers they refer through their link. A creator who recommends Chalk may be paid. We track referrals with a third party, Rewardful.
8. Your content and our licence
You keep ownership of your content. You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy and display it in order to run the service, as your visibility settings allow. This includes public share pages and story cards you choose to share. The licence ends when you delete the content or your account, apart from short backup cycles. You promise you have the right to post what you post.
9. Privacy and visibility
You control who sees your workouts through your account and per-workout settings. Read our Privacy policy at /legal/privacy for the details. Please note:
- Anyone with the link can see a public workout on a share page.
- Challenge leaderboards show your progress totals, which include all your workouts in the challenge dates, including private ones. We tell you this when you join. Do not join if you do not want that.
- Other members may screenshot or copy what they can see.
10. Moderation
Members can report people, workouts and comments. We may dismiss a report, remove content, or suspend an account. A suspended account cannot sign in and is hidden from others. We may do this if we think these terms are broken or someone is at risk. We log these actions. If you think we made a mistake, email [CONTACT EMAIL].
11. Our service
Chalk, its design and its code belong to us or our licensors. We give you a personal, non-transferable right to use the service. Exercise images come from a public-domain library. We may change the service, add features, or remove them. We aim to keep the service available but do not promise it will always work or never lose data.
12. Ending your account
You may stop using the service and delete your account any time. We may suspend or close your account if you break these terms, misuse the service, or if the law requires. Deleting your account cancels your subscription straight away, with no refund for the rest of the period unless the law requires one.
13. Our liability
The service is provided "as is" and "as available". To the fullest extent the law allows:
- We disclaim all warranties, including fitness for a particular purpose.
- We are not liable for indirect, incidental or consequential losses, lost data, or injury from training.
- Our total liability to you is limited to the amount you paid us in the 12 months before the claim, or [LIABILITY CAP, FOR COUNSEL] if greater.
Nothing in these terms limits liability that cannot be limited by law, such as for fraud, or for death or personal injury caused by our negligence where the law says so. You may have consumer rights that these terms cannot remove.
14. Third-party services
The service works with Stripe, Rewardful, Cloudflare and others. We are not responsible for their services or terms.
15. Disputes and governing law
These terms are governed by the laws of [GOVERNING LAW / JURISDICTION]. Courts of that place have exclusive jurisdiction, except where the law gives you the right to bring a case where you live. Please email [CONTACT EMAIL] first so we can try to fix the problem.
16. Changes
We may update these terms. We will post the new version with a new effective date and tell you of material changes in the app or by email. If you keep using the service after the change takes effect, you accept it. If you do not agree, cancel and stop using the service.
17. General
If part of these terms cannot be enforced, the rest still applies. If we do not enforce a right, we have not given it up. You may not transfer your rights under these terms. We may. These terms and the Privacy policy are the whole agreement between us.
